The role holder will provide Company Secretariat advice and administrative support to the Board and Committees of RiverStone International Australia Pty Ltd (RIAPL), while also supporting the Board and key Committees of RiverStone International Ireland DAC (RIIDAC), including the Loss Reserving and Audit Committees. The role works closely with the Ireland Company Secretary to support corporate governance and board operations, offers ad hoc Company Secretarial support to UK entities as required, and contributes to embedding the Company Secretariat Manual and governance standards across RIIDAC and RIAPL. In addition, the role supports and leads on various ad hoc projects as needed.

- Provide Company Secretariat support of the RiverStone International Australia PTY Ltd (“RIAPL”) Board and RiverStone International Ireland DAC (“RIIDAC”).
- Attend board, committee and executive meetings, either with the registered Company Secretary or in sole attendance, and produce comprehensive minutes within agreed timescales.
- Prepare and circulate reporting packs via Diligent in preparation for board, committee and executive meetings.
- Record and report on actions arising from meetings and monitor them to completion.
- Liaise with Directors, managers, executive stakeholders and the Company Secretary in order to schedule board, committee and executive meetings.
- Prepare for all board and committee by ensuring that invitations are circulated, agendas are agreed and distributed, and logistics are arranged as required.
- Maintain statutory records for RIAPL (and support entity governance administration, including the use of Diligent Entities.
- Support ad-hoc UK entity governance requirements, including filings and related corporate administration where required.
- Assist with embedding the Company Secretariat Manual re RIIDAC and RIAPL Boards.
- Keep close working relationships with relevant RiverStone group entities and other key stakeholders.
- Liaise with external auditors and provide support during the annual audit process where governance input is required.
- Assist and lead on ad hoc projects.
- Support and coordinate annual board effectiveness reviews and related follow-up actions.
- Coordinate director induction and continuing professional development activity, including maintaining appropriate records.
- Support the review, enhancement and alignment of RIIDAC and RIAPL Board and committee Terms of Reference.
- Support processes for identifying, recording and evidencing RIIDAC and RIAPL Board conflicts of interest and related governance controls.
- Have an awareness of Data Protection legislation, including the Data Protection Act and the General Data Protection Regulation

Working hours
Our standard working hours are from 09.30 a.m. to 5.30 p.m. Full time employees are to be in the office for 3 days per week, with 2 days working from home.
