The Team -
The Company Secretary is part of the Legal and Secretariat team, working closely with the Chair, Non-Executive Directors, and senior leaders to support corporate governance across the business. The role oversees Board and Committee coordination, key governance activities, and ensures all statutory and regulatory requirements are met within a collaborative, high-performing team.
What you can expect in this role
- You’ll contribute to strengthening governance across the business, keeping up to date with corporate governance developments and promoting best practice throughout
- You’ll take ownership of Board and Committee processes, including preparing annual calendars, agendas, and meeting packs, ensuring meetings run smoothly and effectively
- You’ll support key governance activities such as Board and Committee evaluations, onboarding and offboarding processes, and regulatory approvals, focusing on quality, collaboration, and continuous improvement
- You’ll have opportunities to develop your leadership capability through line management of the Assistant Company Secretary and exposure to senior stakeholders
- You’ll be supported by experienced colleagues while attending meetings, minute-taking (in person or via Microsoft Teams), tracking actions, and maintaining accurate Company Registers
What you might bring
- A Company Secretarial qualification (ICSA/CGI) or significant experience in a Company Secretarial role is essential
- Strong knowledge of the Companies Act and UK Corporate Governance Code, with the ability to apply this in practice
- Excellent drafting skills, producing clear, accurate Board and Committee papers, minutes, and governance documentation
- Confidence communicating with senior stakeholders, including Board members and executive leadership
- High attention to detail with the ability to manage priorities and consistently meet deadlines
- Experience using company secretarial systems, alongside a proactive mindset to challenge and improve governance processes
